Making an mgeg4 conversion, such as Xvid could not be easier. All you have to do is download and install the Xvid codec, then load your movie into VirtualDub.
Select the part of the movie you wish to encode using the 2 black arrow buttons on the low-right.
then go to Video -> Full processing mode, Video -> Compression. Select the Xvid codec and then press configure. 700kbps should be sufficient.
Remember that your video width and height should be a multiple of 4 or 2 (depends on your codec).
then goto file -> Save as..
If you wish to conpress the audio too, you can do the same thing for the audio stream (full processing mode etc...)

If on the other hand you have a whole DVD to encode, try using DVDx 2.2
It is freeware, and will do EVERYTHING.
